DELAWARE REGISTERED AGENT SERVICES

By appointing us as your Delaware Registered Agent, you authorize us to receive and forward legal notices, service of process, and official state communications on behalf of your entity.

Registered Agent Service

  • Statutory Role: Our service is strictly limited to receiving and forwarding legal documents.
  • Address Use: You may use our address only for state filing and registered agent purposes.
  • No Mail Forwarding: General business mail, packages, or operating correspondence will not be processed.
  • Current Contact Info: You must maintain accurate, updated email and physical addresses with us.
  • Forwarding Consent: We are authorized to transmit all legal documents received via email.
  • Immediate Notification: You bear sole responsibility for responding to forwarded legal notices.
  • Annual Renewal: Services automatically renew annually unless canceled 30 days prior.
  • Non-Payment: Failure to pay renewal fees results in immediate resignation as agent.
  • Indemnification: You agree to hold us harmless from liabilities arising from your non-compliance.

 

DELAWARE TAX COMPLIANCE SERVICES

 

TAX COMPLIANCE SERVICE FOR ALL DELAWARE LIMITED LIABILITY COMPANIES AND LIMITED PARTNERSHIPS

We reserve the right, from time to time, with or without notice to you, to change these Terms and Conditions in our sole and absolute discretion.

Limited Liability Companies (LLCs) & Limited Partnerships:

Although DBI will attempt to notify client when credit card information on file is outdated, client will be solely responsible for periodically providing DBI with updated credit card number and/or expiration dates as needed. If client's bank balance or credit limit is insufficient to cover the service charge, tax liability and fees, DBI will attempt to contact client by either phone, fax, email or mail. The method of communication to be used will be at DBI's discretion. DBI will not cover client's tax liability in advance of full payment for services. Should DBI be unable to contact client due to an unannounced change in client's contact information, should client fail to respond before taxes or Registered Agent renewal is due, or should client fail to supply a valid credit or debit card with sufficient funds, DBI will not be held responsible for client's charter being declared VOID or Forfeit, nor will DBI be held responsible for any penalties, late fees or interest incurred as a result. DBI is a service company. DBI does not maintain Attorneys or Tax Accountants on staff and cannot furnish legal or tax advice. Requests for cancellation of service or notices of Cancellation of Charter must be received no less than 30 days before the desired cancellation date. Registered Agent Fees are not refundable in full, in part or pro-rata. DBI expressly disclaims any liability for relying on authorizations, instructions or information provided by a party who represents himself or herself as the person authorized by the entity in question to request or execute the filing ordered. I have read, understand and agree to the above terms and conditions. I authorized DBI to charge my credit card the following RECURRING fees once per year: Delaware Tax Compliance Service to DBI of $75 and Delaware LLC/LP tax to the State of Delaware not to exceed $400. I understand DBI will charge my card for the DBI fees AND the State of Delaware fee. DBI will in turn pay the Delaware franchise tax fee via DBI's State of Delaware depository account. DBI will provide you with a State of Delaware receipt showing payment for your franchise taxes.

TAX COMPLIANCE SERVICE FOR ALL DELAWARE CORPORATIONS

We reserve the right, from time to time, with or without notice to you, to change these Terms and Conditions in our sole and absolute discretion.

CORPORATIONS:

Delaware Business Incorporators, Inc. (DBI) will rely on the information provided on enrollment form to file annual reports and pay franchise taxes based on the instructions received from the client to fill out, sign on behalf of the client and file documents required to perform the Delaware State Franchise Tax filings and ancillary services requested. DBI will also receive and respond to notifications regarding said document filing process from the State government on behalf of the client.   DBI reserves the right to refuse service or order fulfillment, with notice at time of refusal, at its discretion, for reasons including but not limited to any order for which incomplete information or instructions are provided; any order for which a request for further information or instructions made by DBI subsequent to receipt of order form is not honored; and any order for which payment is insufficient to cover all costs.   It is solely the client's responsibility to inform DBI immediately of any changes to the enrollment information. Although DBI will attempt to notify client when credit card information on file is outdated, client will be solely responsible for periodically providing DBI with updated credit card number and/or expiration dates as needed.   If client's bank balance or credit limit is insufficient to cover the service charge, tax liability and fees, DBI will attempt to contact client by either phone, fax, email or mail. The information provided by DBI is of general application and for informational purposes only. It is not intended to replace the advice of an attorney or tax accountant and does not constitute individualized legal advice, legal service, or tax advice, and no representations or warranties, express or implied, are given regarding the legal, tax or other consequences resulting from the use of our services, including but not limited to information and/or forms. The information supplied by DBI is supplied only with the understanding that DBI and its employees, agents and/or representatives are not engaged in rendering legal services, legal advice, or tax advice. DBI expressly disclaims any liability, loss or risk incurred as a consequence, directly or indirectly, of the use and application of any of the contents of this information. Requests for Cancellation of Service or Notice of Dissolution or Cancelation of Charter must be received no less than 30 days before the desired cancellation date. Registered Agent Fees are not refundable in full, in part or pro-rata. I have read, understand and agree to the above terms and conditions. I authorize DBI to charge my credit card the following RECURRING fees once per year: Delaware Franchise Tax Preparation and Filing Service of $75 to DBI and Delaware Annual Report filing fee of $50 PLUS Annual Delaware Franchise Tax of $175. DBI will charge your card for our service fee and the State of Delaware franchise tax fees. DBI will pay your franchise taxes from our State of Delaware depository account. We will provide a receipt once your company's annual report is filed and your franchise taxes are paid.

Delaware charges different rates based on your type of entity, requiring corporations to pay a scaled tax plus a filing fee by March 1, while LLCs pay a flat tax by June 1. Our Delaware Tax Compliance Service processing fee is $75 for both LLCs and Corporations.

The detailed cost breakdown varies significantly between corporations and limited liability companies:

Corporations (Due March 1)

Corporations must file an Annual Report and pay a Franchise Tax. The total minimum cost is $225 ($175 minimum tax + $50 annual report fee). You are allowed to calculate your tax using whichever of the following two methods yields a lower bill:

  • Annual Report Fee: $50 for standard domestic corporations ($25 for exempt non-profits).
  • Authorized Shares Method (Default): Based entirely on the total number of shares authorized in your certificate of incorporation:
    • 5,000 shares or fewer: $175 (Minimum tax)
    • 5,001 to 10,000 shares: $250
    • Each additional 10,000 shares (or fraction thereof): Add $85
  • Assumed Par Value Capital Method: Based on a formula tracking total gross assets and issued shares.
    • Minimum Tax: $400
    • Rate: $400 per $1 million (or portion thereof) of assumed par value capital.
  • Tax Maximums: The standard cap is $200,000. Publicly traded companies meeting specific asset and revenue limits are classified as "Large Corporate Filers" and pay a flat $250,000.

LLCs & Partnerships (Due June 1)

Limited Liability Companies (LLCs), Limited Partnerships (LPs), and General Partnerships (GPs) feature a highly simplified payment structure:

  • Annual Tax: A flat $400 per year.
  • Annual Report Fee: $0 (LLCs are legally exempt from filing an annual report in Delaware).

Late Penalties & Enforcement

Missing your respective deadline triggers immediate compliance penalties:

  • Corporations: A flat $200 late penalty plus 1.5% interest per month on the combined unpaid tax and penalty.
  • LLCs / LPs: A flat $200 late penalty plus 1.5% interest per month.
  • Loss of Good Standing: Failing to pay will result in the state changing your entity status to "Void" or "Not in Good Standing," halting your ability to secure financing or file state amendments.

By using our Delaware Good Standing Service, you authorize us to request and obtain a Certificate of Good Standing from the Delaware Division of Corporations on your behalf.

  • Accuracy Required: You are entirely responsible for providing the correct entity name.
  • No Guarantee: We do not guarantee approval if your entity is void.
  • Tax Compliance: You must resolve all outstanding franchise taxes before ordering.
  • Processing Times: State processing times are estimates and subject to delays.
  • Limitation of Liability: Our liability is limited strictly to the service fee paid.
  • All sales are final for this service.

DELAWARE UCC SERVICES

DELAWARE UCC SEARCHES

As a user of Delaware Business Incorporators, Inc. (DBI) services and reports you agree to hold DBI harmless and indemnify DBI against any claims arising from inadequate breadth and scope of any search request. As a user, you also understand that DBI searches databases maintained by public officials. As a user, you agree to hold DBI harmless against any claims arising from error or omission within DBI reports, whether fault lies with DBI, with the government agency that maintains database or the filer of any particular document. DBI liability extends only to the amount paid for the particular DBI report in question.

DELAWARE UCC FILINGS

I agree and understand that Delaware Business Incorporators, Inc. (DBI) may assist with filling out and/or filing forms and documents, however the content presented on said forms and the applicability of any particular forms are the sole responsibility of the end user. DBI recommends consulting a qualified attorney to determine proper content to be entered onto any forms to be filed with government agencies.

 

DELAWARE MAIL FORWARDING, SCANNING & PACKAGE FORWARDING SERVICES

The following Terms and Conditions apply with a subscription to any one of our address services:

  • Low Volume Mail Forwarding Service (3 pieces of mail per month; usage fees apply.)
  • Basic Mail Forwarding Service (25 pieces of mail per month; usage fees apply.)
  • High Volume Mail Forwarding Service (100 pieces of mail per month; usage fees apply.)
  • Delaware Virtual Office unique Suite Number and Lease includes Low Volume Mail Forwarding (3 pieces of mail per month; usage fees apply.)
  • Delaware Virtual Office with unique Private Mailbox (PMB) includes Low Volume Mail Forwarding (3 pieces of mail per month; usage fees apply.)
  • Package Forwarding Service (Annual recurring fee + per package handing fee + shipping charges)

USAGE FEES FOR SCAN/EMAIL AND MAIL AND PACKAGE FORWARDING SERVICES:

  • Contents Scanning of 99 cents page with a minimum of $7.95 per batch of mail scanned (Free scan preview service has been discontinued.)
  • Mail Forwarding Handling Fee of $7.95 per Envelope Forwarded (Up to 9" x 12" large envelope) plus postage and shipping fees
  • Package Handling Fee of $12.95 per Outgoing Package + Postage and Shipping Charges
  • Client agrees to maintain a depository account with a valid credit card or eCheck on file for charging of scanning fees, postage fees, mail handling fees, package handling fees, and shipping fees.

Bulk Mail: Bulk mail and magazines will be destroyed and do not count towards your monthly limit.

Frequency: First class mail will be forwarded and/or open/scanned either daily, weekly or monthly.

Package Forwarding: A package forwarding service is available for an additional annual fee of $139 and a per parcel processing fee of $12.95 per parcel.

 

ISSUANCE OF PERSONAL MAILBOX (PMB) NUMBER

The PMB will be issued only AFTER the USPS form 1583 is filled out, signed and notarized.   In those countries, were notaries are not available, we will accept a bank official, lawyer or accountant signature in place of a notary. Upon receipt of a completed form 1583, we will issue the PMB number.

USPS FORM 1583 - "REQUIRED"

AFTER submitting your order, upon receipt of the fully completed and notarized form 1583, we will issue your mail forwarding address and PMB number. We will send the required form to you AFTER we have processed your payment.

 

 

SCANNING, POSTAGE & HANDLING FEES DEPOSITORY ACCOUNT

You are required to provide a scanning, postage, and handling depository account with credit card authorization to automatically charge scanning, postage and handling fees to your credit card each time we scan/email or forward mail. If you elect to authorize DBI to automatically charge your credit card each time mail is forwarded to you, you are expressly agreeing that we are permitted to immediately bill your credit card and all charges associated with the pricing plan you select and any applicable shipping costs, customs duties, additional usage fees, and any other charges you may incur in connection with your use of the Services.

If your depository account deposit is insufficient to cover the cost of forwarding fees, or if your credit card information is invalid, we will hold your mail at our facility for a maximum of 7 days. As a courtesy, we will issue you a notice informing you that a deposit or updated credit card authorization is needed. If you have not supplied sufficient deposit or credit card authorization to cover postage within 7 days, your mail will be destroyed. You agree to hold DBI harmless for destroying mail if sufficient funds are not available to cover cost of postage and handling within 7 days.

NO CASH ON DELIVERY (COD)

We will not accept cash on delivery (COD) or postage due Mail on your behalf.

NON-REFUNDABLE SCANNING, POSTAGE, AND HANDLING DEPOSITS

All postage and handling deposits and all fees already paid to carrier for mail dispatched to your forwarding address at your instruction are non-refundable.

IMPROPERLY ADDRESSED MAIL

If we notify you that a sender is not properly addressing mail to your PMB number, you agree to promptly contact the sender and instruct them to include your full address. We reserve the right to suspend or terminate your mail forwarding service if an unreasonably high percentage of mail addressed to you is insufficiently addressed. You acknowledge that if your mail forwarding account is terminated for failure to comply with these terms you will NOT be issued a refund.

MAIL ADDRESSING REQUIREMENTS

Mail must be addressed to the individual(s) or company stated on the 1583 form. Multiple officers, principals or employees of one company may be listed on the 1583 form as mail recipients, BUT you may NOT receive mail for multiple COMPANIES at one Personal Mailbox. Each company must subscribe to its own mail forwarding service and must be assigned its own PMB number.

You agree that we have no responsibility or liability for mail that is not properly addressed with the name of your company and your PMB number or which is otherwise insufficiently addressed. By subscribing to mail forwarding service, you authorize DBI to open any mail received with an insufficient address for the purpose of attempting to identify the subscriber addressee; you agree to hold DBI harmless for destroying any mail received for which the subscriber addressee cannot be identified.

Your sender is responsible for properly packaging your items for mailing to our facility. Incoming mail and packages are not subject to routine inspection for damage by DBI. If a carrier refuses to receive a package for re-mailing, or if DBI has a reasonable belief that the carrier would refuse to receive a package, because the item has arrived at our facility in a condition which would prevent remailing , you authorize DBI to insert the item in its present packaging into an intact envelope or cardboard box; you agree to hold DBI harmless for repackaging your item for remailing; and you agree to pay reasonable fees for any packaging material necessary for remailing. DBI does not make any warranties respecting the condition or security of repackaged items.

MAIL OR PACKAGES CONTAINING HAZARDOUS ITEMS

DBI does not accept mail containing hazardous or potentially hazardous materials, or any other substance or material prohibited by law from being carried through the mail; by subscribing, you authorize DBI to open any mail for inspection at our own discretion. We reserve the right to refuse delivery or forwarding of any item we deem inappropriate for any reason.

If you request forwarding to an address outside the US, you are solely responsible for the payment of customs, duties, tariffs, or taxes and for providing any and all documentation necessary to export your mail. You authorize us to open and inspect all packages and all letters that might contain something other than documents before forwarding such items to another country. You acknowledge that DBI is not a customs agent or broker. Packages that cannot, in our sole discretion, be shipped without violation of international laws or treaties will not be shipped outside the country. For such packages, we are not responsible for taking any action other than holding the package until appropriate arrangements can be made but in no case will we hold such a package for more than 7 days. You agree to hold DBI harmless for destroying mail which cannot be forwarded in accordance with international laws and treaties within 7 days of receipt at our facility.

Due to regulations on exports, we will not forward any mail to the countries of Iran, or North Korea or any other country that is under sanctions by the United States. We reserve the right to refuse delivery from or forward to any country if we, at our sole discretion, determine that such delivery may potentially be associated with any fraudulent activities. Regardless of origin or destination, if we in our sole discretion suspect that your contact information or payment method is fraudulent, then we may in our sole discretion immediately terminate your account without refund and turn all related information over to the USPS Office of the Postal Inspector, the U.S. Federal Bureau of Investigation, the applicable State Attorney General or Embassy with jurisdiction, or other local, national or international law enforcement authorities. You understand that we cooperate with the USPS Postal Inspection Service and will share all information about you and your use of the Services upon its reasonable request. We may share information to investigate, prevent, or act

no refunds for any of our mail forwarding, virtual office with suite number and lease services.

DBI shall not be held responsible for any loss, liability or damage in connection with your mail, or the contents of such mail, for any reason whatsoever, including, but not limited to, speed of delivery, misdelivery, damage, theft, fire, accidents or negligence, and YOU EXPRESSLY RELEASE DBI FROM RESPONSIBILITY OR LIABILITY IN CONNECTION THEREWITH regarding illegal activities, suspected fraud, situations involving potential threats to the physical safety of any person, violations of our terms of use, or as otherwise required by law.

You specifically indemnify us and hold us harmless from any and all liability, claims, damages, losses or causes of actions arising from such inspection of your Mail or from the release of information regarding you or your use of the Services to any local, state, or national agency or to the USPS, or to a private party whose subpoena you fail to contest as specified by us. Except as provided in these Terms, we will preserve the confidentiality of your Mail's contents with respect to third parties and will not use or disclose information contained in your Mail other than to carry out the purposes for which you disclosed that information.

 

 

PERMITTED USES OF OUR BUSINESS
MAILING ADDRESS

 

You can use our street address and a unique Suite or PMB number assigned to you as your Delaware business address. (PLEASE NOTE: We provide a virtual office service or mail forwarding service. We do not make any claims that you can use our virtual address service or mail forwarding service for any specific purposes. We do not make any warranties or representations for the use of the virtual address or mail forwarding service.) Our address is recognized by the United States Post office as a Commercial address service or mail forwarding service for any specific purposes. We do not make any warranties or representations for the use of the virtual address or mail forwarding service.) Our address is recognized by the United States Post office as a Commercial Mail Receiving Agency (CMRA). There are no refunds for any of our mail forwarding, virtual office with suite number and lease services.

DBI shall not be held responsible for any loss, liability or damage in connection with your mail, or the contents of such mail, for any reason whatsoever, including, but not limited to, speed of delivery, misdelivery, damage, theft, fire, accidents or negligence, and YOU EXPRESSLY RELEASE DBI FROM RESPONSIBILITY OR LIABILITY IN CONNECTION THEREWITH.

DBI’s limitation on liability set forth in the preceding sentence is applicable with respect to any loss, liability or damage in connection with your mail, and the contents of such mail, arising prior to the delivery of such items to DBI, during any time that DBI is in care, custody or control of such items, and after such items are entrusted to the carrier for remailing to your forwarding address. Items in DBI’s care, custody and control are not insured against loss or damage. By contracting with DBI for mail forwarding service or package forwarding service, you entrust items to DBI’s care and custody at your own risk. DBI SHALL NOT BE RESPONSIBLE FOR ANY CLAIMS FOR LOSS OR DAMAGE OF ANY KIND THAT OCCUR WHILE YOUR ITEMS ARE IN DBI’S CARE, CUSTODY OR CONTROL, AND YOU AGREE TO INDEMNIFY, HOLD HARMLESS AND RELEASE DBI FROM ANY AND ALL LIABILITY, CLAIMS, DAMAGES, LOSSES OR CAUSES OF ACTIONS ARISING FROM ENTRUSTING ITEMS TO DBI’S CARE, CUSTODY AND CONTROL. In the event you suffer a loss or damage with respect to an item that is in DBI’s care, custody or control, however, DBI will, upon request, refund any fee paid by the customer in connection with the transaction involving such item.

We are not responsible for the U.S. Postal Service's compliance (or non-compliance) with your change of address request. If your forwarding address changes you agree to notify us immediately in writing or by email; we will not he held responsible for misdelivery or non-delivery if you fail to notify us of a change or correction of address according to these terms. Senders who send checks, currency, products, valuables or items of any kind to you through the mail, or via courier (such as FedEx, UPS, DHL, etc.) do so at their own risk. If you instruct a sender to transmit checks, currency, products, valuables or items of any kind to your mail forwarding address by mail or courier you do so at your own risk. DBI will not be held partly, jointly or solely liable for loss of any such checks, currency, products, valuables or items of any kind which occur enroute to our facility, or which have been dispatched to you from our facility by a third-party carrier at your instruction.

In accordance with United States law, we will not create scanned images of currency.

DBI does not accept service of process of mail forwarding subscribers unless they also have a current contract for Registered Agent service with DBI. You agree not to list your mail forwarding address as the registered office (or any other term having the same or similar meaning as used in the Delaware General Corporation law) of your business. You agree to hold DBI harmless for refusal to receive service of process on a mail forwarding subscription account if you have not retained DBI as your Registered Agent by the time service of process is attempted.

By submitting an order for any mail forwarding service offered by DBI, you agree to these terms and conditions. These terms, or the current terms at the time of renewal as amended, will automatically renew each time you pay to renew your subscription to our mail forwarding service. You agree that we may at our sole discretion cancel the Services and terminate these Terms for any cause and at any time and without notice. You agree that for purposes of these Terms the actions or failure to act of any user of your account will be attributed to you. Cause shall include but not be limited to:

Your failure to provide correct and accurate contact information;
Your failure to cooperate or provide information in connection with any investigation undertaken by a local, state, or federal authorities, or other governmental agency;
Your failure to provide sufficient payment or valid credit card information within 90 days of receipt of mail or upon expiration of your 12 month subscription.
Our determination that the payment mechanism provided by you is likely being used in a fraudulent manner;
Your behavior towards our employees or other customers being offensive, abusive, violent, threatening or disruptive; or
Your violation of any provision of these Terms and Conditions.

If you choose to reactivate your mail forwarding subscription after voluntary cancellation or termination for non-payment, we do not make any warranties or guarantees that you will be assigned the same PMB number upon renewal.

You waive and release us from compliance with any obligation to forward or re-mail Mail received after your account has been terminated and specifically agree that we have no obligation to forward or re-mail Mail to you except as expressly stated in these Terms; you acknowledge that any mail received after termination of your account will be classified as undeliverable and will be destroyed.

The foregoing is intended to be a written instruction from you to us that your Mail need not be re-mailed to you as otherwise required in the USPS Domestic Mail Manual's conditions for Commercial Mail Receiving Agencies. You also acknowledge that USPS regulations prohibit you from filing a change of address form with the USPS after termination, and that you are prohibited from requesting that we refuse Mail or return it to sender.

You agree to protect, defend, indemnify and hold us harmless from and against any and all claims, causes of action, liabilities, judgments, penalties, losses, costs, damages and expenses (including attorneys' fees and all related costs and expenses of litigation at arbitration, or at trial or on appeal, if any, whether or not litigation or arbitration is instituted) suffered or incurred by us, including, without limitation, any claim for personal injury or property damage, arising from: (i) these Terms; (ii) the Services provided to you by us; (iii) your use of the Services including without limitation any copyright infringement claims that could arise from our scanning documents at your request; (iv) the failure of any third party, USPS or any commercial delivery or courier service, to provide delivery or courier services accurately and on time; (v) loss, damage, or destruction of your Mail by any cause whatsoever whether or not attributable to our negligence or intentional act; (vi) any violation by you of any federal, state or local laws, statutes, rules or regulations; and (vii) for the consequences of any attempts of third parties to serve you with legal process through the Services or our facility. For purposes of these Terms, the indemnified parties shall include Delaware Business Incorporators, Inc. and its owners, affiliates, subsidiaries, parents, shareholders, members, successors, assigns, representatives, officers, directors, agents, attorneys and employees. WE SHALL NOT BE LIABLE FOR ANY OTHER LOSS, CLAIM, Damage or injury arising out of, related to, or in any connected with this Agreement or the provision of any services pursuant to this agreement.

INTERNATIONAL CREDIT CARD PAYMENTS

We will require a color scan of your credit card (front and back) and a photo identification card, i.e. international driver's license, passport, etc. The name on the credit card MUST match the name on the photo identification. No exceptions.

 

ACCOUNT TERMINATION

You may terminate your account at any time by sending written notice by email, mail or courier. No refund will be issued to you for unused subscription periods and/or scanning, postage, or handling deposit. There are no pro-rata refunds. No refunds will be issued for unused months of the subscription period.
