It verifies good standing status. It is issued by the Delaware Secretary of State when a Delaware entity's franchise taxes are paid up to date and annual reports are completed and filed.

- opening a business bank account
- obtaining financing such as a bank loan or lease
- government or private contract requirement
What are the different types of good standing?
Delaware offers two different types of good standings:
- Short Form: A short form certificate of good standing simply states that a LLC or corporation is current with franchise taxes. In the case of a corporation, it will also state that the annual report has been completed and filed.
- Long Form: A long form certificate certifies that a companies franchise taxes are paid up to date and that all required annual reports are completed and filed. A long form also provides a history of all documents that have been filed since the company was incorporated. A long form certificate verifies that all certified copies of the LLC or corporation documents are complete. It also provides a complete legal history of the company.
How do I go about obtaining a Delaware certificate of good standing and do you have a fee schedule?
You can order a certificate of good standing from the State of Delaware or from us. We have a direct connection with the State and can usually obtain a good standing in less than 60 minutes. The fee for a short form certificate of good standing is $75 plus a state document fee of $50 for a total fee of $125. The fee for a long form certificate of good standing is $75 plus a state document fee of $175 for a total fee of $250.
Can I obtain an apostille with the certificate of good standing?
Yes. We can apostille a good standing certificate. Our apostille processing fee is $100 plus a state fee of $70.
How long is a Certificate of Good Standing Delaware valid?
Depending on what you plan to use the certificate will determine its validity. In many cases, a certificate of good standing can be no older longer than 30 days. For some circumstances, the certificate can be used up to 6 months from the date of issue.
What is the Delaware certificate of good standing authentication number?
A Certificate of Good Standing Delaware bears an authentication number which may be verified with the Corporations Division by the requesting party if necessary.
A cover letter providing instructions for authentication of the electronic document will be included.
This allows the a Delaware Certificate of Good Standing to be transmitted by email or fax.
It is not necessary for you to authenticate the document before use. Authentication is only necessary if the authenticity of the electronic document is doubted by the party requesting the document from you.
What do I need to do to get my LLC or corporation in good standing?
If your Delaware company is not in Good Standing due to failure to pay taxes, file an annual report or maintain a Registered Agent, you may need to have us prepare a Certificate of Renewal/Revival first. We will provide an estimate for taxes, penalties and interest due.
