Additional Charges:

• $25 per name when there are more than two debtor-names on the financing statement
• $20 if the Financing Statement is for a Public Finance or Manufactured Home Transaction

• $10 for the first page, $2 for each additional page

• $25 certification fee, $10 for the first page, $2 for each additional page per document.

What does UCC mean?

UCC is an abbreviation for Uniform Commercial Code. The code was first published in 1952. The UCC code has been adopted by all 50 states, the District of Columbia and the U.S. territories. The goal of the UCC act was to harmonize the law involving sales and other commercial transactions across the United States.

What is UCC-1?

A UCC-1 financing statement is a legal form that is filed with a state's secretary of state giving a creditor an interest in the personal property of a debtor.  

What is UCC-3?

UCC-3 is a legal form which amends a UCC-1 filing. The amendments can include termination, continuation, or transfer of the financing statement. For instance, a UCC-3 form can also amend the collateral or the names of the two parties on the UCC-1 financing statement.

What is an UCC filing expiration?

The UCC’s normal rule is that a financing statement remains valid for a period of five years from the date of filing. Unless a continuation statement is properly filed before expiration of the five year period, the effectiveness of the financing statement will lapse.

What is an UCC termination notice?

A termination notice is noted on the public record that the secured party on a financing statement no longer has interest in the collateral. Termination notices are generally filed prior to the five-year lapse date.

What is an UCC search?

A UCC search involves searching the Delaware Secretary of State's database of UCC filings. Delaware only provides certified searches. There is no "uncertified" or plain UCC searches. Delaware uses name search logic and looks for the exact word. There will be no name variations on the search report. Due to the way that Delaware's UCC database is structured, a searcher has to input every name variation they can think of to generate a certified listing. Delaware has a list of noise words that are ignored during UCC searches.

Article 9 is a subsection of Title 6, Subtitle 1, ARTICLE 9, Part 4 of the Delaware Code on secured transactions regarding the rights of third parties.

What is Article 8 of the Delaware UCC code?

Article 8 is a subsection of Title 6, Subtitle 1, ARTICLE 8, Part 1 of the Delaware Code on investment securities regarding short title and general manners.

What is Article 2 of the Delaware UCC code?

Article 2 is a subsection of Title 6, Subtitle 1, ARTICLE 2, Part 1, of the Delaware Code on sales regarding Short Title, General Construction and Subject Matter.
