Filing Requirements

If you've incorporated your company in any state other than Florida (state motto: In God We Trust) and you wish to "conduct business" in Florida, you'll need to "foreign qualify" your company.

A Florida form called "Application for Authorization to Transact Business in Florida" needs to be completed. There is a form for LLCs and a different form for corporations. The State of Florida requires the following pieces of information:

• Full company name
• Alternate name in Florida (if applicable)
• Federal Employer Identification Number (aka EIN)
• Names and address of officers and directors or members and managers
• State (or country) of Incorporation or Formation
• Date of formation in state of incorporation
• Date first transacted business in Florida
• Street address of principal office
• Nature of business in Florida
• A designated commercial registered agent for service of process (can be either a corporation or natural person)
• Street address (including county) of agent for service of process (PO Box is NOT acceptable)
• The effective date
• Signature and title of the authorized person

• Current Certificate of Existence from state of incorporation (no more than 90 days old)
